Public offer (subscription contract)

This document is a public offer by Limited Liability Company FINAIM (OOO «ФИНЭЙМ»), INN 5300000811, KPP 530001001, OGRN 1215300004842, registered at 8 Pionersky St., Staraya Russa, Novgorod Region, 175204, Russia (the “Provider”) to conclude a contract for the paid supply of services on the terms below (arts. 435, 437 of the Russian Civil Code).

Payment for a selected plan constitutes acceptance of this offer in full (art. 438(3) of the Civil Code). From that moment this document is a contract between the Provider and the paying party (the “User”).

The current version is published at app.finaim.org/legal/offer. The version in force on the date of payment governs the period paid for.

The Provider grants the User access to the Finaim information and analytics service (app.finaim.org) within the scope of the selected plan, and the User pays for that access.

The service supplies information: market data, fundamentals, the output of statistical ranking models with their factor attribution, and tools for building and optimising a portfolio from parameters the User sets.

The Provider is not a professional securities market participant, investment adviser, broker or asset manager, does not provide investment advice and does not issue individual investment recommendations within the meaning of art. 6.1 of Federal Law No. 39-FZ of 22 April 1996. Model output is not a recommendation to buy or sell; the User decides alone and at their own risk.

The Provider does not and cannot guarantee any investment return. Historical model results are published as a description of the method and are not a promise of future performance.

The price of the service is set by the selected plan:

Prices are in Russian roubles. VAT is not charged: the Provider applies the simplified tax regime (art. 346.11(2) of the Russian Tax Code). The free plan runs indefinitely and requires no payment.

Payment is made by bank card on the Provider's site through the YooKassa payment service (operator: NBCO YooMoney LLC). The Provider neither receives nor stores card details; they are handled by the payment service.

The service is treated as paid for once the payment service confirms the payment. The fiscal receipt required by Federal Law No. 54-FZ of 22 May 2003 is sent to the email address given at checkout.

The first 7 (seven) days of a paid plan are free and require no bank card. Payment is taken after the trial period if the User has subscribed.

If the User consented to automatic renewal at checkout, the subscription renews for the next period (a month or a year, per the selected plan) at the price in force on the renewal date until the User cancels renewal. Without that consent the subscription lasts only for the period paid for, and no further charges are made.

Consent to recurring charges is given by a separate, explicit action at checkout and is never pre-ticked (art. 16(3.1) of the Russian Consumer Rights Protection Act). The frequency and grounds of the charges are stated on the payment page.

Renewal can be cancelled at any time in the account settings or by writing to support@finaim.org. Once cancellation is received, no further charges are made to the stored card (art. 16.1(4.2) of the Consumer Rights Protection Act); access continues to the end of the period already paid for.

The service is supplied remotely through app.finaim.org. Access to a paid plan opens automatically within 15 (fifteen) minutes of payment confirmation and runs to the end of the paid period: one calendar month or twelve calendar months from the date of payment.

Nothing is downloaded or installed: the service is supplied by granting access to the site's features under the User's account.

The service is treated as duly supplied if access to the plan's features was available during the paid period. Planned maintenance is not a failure to supply where it totals no more than 24 (twenty-four) hours in a calendar month.

The User may withdraw from the contract at any time (art. 32 of the Consumer Rights Protection Act), by cancelling in the account or writing to support@finaim.org from the account's email address.

On withdrawal the Provider refunds the unused whole days of the paid period, less costs actually incurred and documented. A “no refunds” term does not apply: it is void under art. 16(2) of the Consumer Rights Protection Act.

Annual subscriptions additionally carry an unconditional guarantee: within 30 (thirty) calendar days of payment the full amount is refunded on request, no reason required.

Refunds are made by the same method as the payment within 10 (ten) calendar days of the request (art. 22 of the Consumer Rights Protection Act). The time for the funds to reach the User's account is set by the issuing bank.

The Provider undertakes to keep the paid plan available, to handle the User's data in accordance with the Privacy Policy, and to give at least 14 (fourteen) days' notice of any price change before renewal.

The User undertakes not to share account access, not to harvest data beyond the features of the plan, and not to reproduce the service's materials commercially without written consent.

The Provider may suspend access for a breach of this clause after notifying the User; where the suspension is the User's fault, the fee is not refunded.

The service supplies information and tools to analyse it. The Provider is not liable for the User's investment decisions or their financial outcome.

The Provider is not liable for gaps or errors in data received from external market data sources, nor for interruptions caused by force majeure or by connectivity and hosting providers.

The Provider's liability is in any event limited to the price of the paid subscription period.

Personal data is processed in accordance with Federal Law No. 152-FZ of 27 July 2006 and the Privacy Policy published at app.finaim.org/legal/privacy.

At checkout the data needed to process the payment is passed to the YooKassa payment service (NBCO YooMoney LLC) as the payment operator; the Provider does not store card details.

Russian law governs this contract.

The parties settle disputes by negotiation; a claim is sent to support@finaim.org and answered within 10 (ten) business days. Failing agreement, the dispute goes to court under the jurisdiction rules of Russian law, including a consumer's right to sue at their place of residence.
